1. Introduction

These Terms and Conditions ("Terms") govern the use of services provided by Commerciera Limited ("Company", "we", "us", or "our"), registered in England and Wales, with its registered office at 124 City Road, London EC1V 2NX, United Kingdom. By engaging our services or accessing our website, you ("Client", "you", or "your") agree to be bound by these Terms.

2. Services Offered

Commerciera Limited provides AI-powered IT consultancy and digital growth services, including but not limited to:

• AI Agents and Workflow Automation
• Custom Website Development (including WordPress, Shopify, and bespoke solutions)
• Mobile App Development (iOS and Android)
• CRM and Pipeline Automation
• SEO, GEO, and AEO Services
• Social Media and PPC Marketing
• E-commerce Development
• Dashboard and Analytics Solutions

The scope, deliverables, and timelines for each project will be defined in a separate written agreement or proposal accepted by the Client prior to the commencement of work.

3. Payment Terms

All fees for services are outlined in the applicable proposal or agreement. Unless otherwise stated:

• Invoices are payable within 14 days of the invoice date.
• Deposits may be required before work commences, as specified in the project proposal.
• For ongoing services, payments are due on a recurring monthly or quarterly basis as agreed.
• Late payments may incur interest at a rate of 4% per annum above the Bank of England base rate, calculated daily from the due date until payment is received.
• The Client is responsible for all applicable taxes, including VAT where applicable.

4. Intellectual Property

Upon receipt of full payment for a project, the Client is granted a non-exclusive, perpetual licence to use all deliverables created specifically for the Client under that project. Unless explicitly agreed in writing:

• All pre-existing intellectual property, frameworks, tools, and methodologies used by Commerciera Limited remain our property.
• We reserve the right to use general knowledge, skills, and non-confidential techniques gained during the course of a project.
• Third-party assets (e.g., stock images, plugins, fonts) remain subject to their respective licences.

5. Client Responsibilities

To ensure timely and successful delivery, the Client agrees to:

• Provide all necessary content, access credentials, and materials in a timely manner.
• Designate a primary point of contact for approvals and communications.
• Review and provide feedback within agreed timeframes.
• Ensure that all provided materials do not infringe on third-party rights.

Delays caused by the Client's failure to fulfil these responsibilities may result in adjusted timelines and additional costs.

6. Limitation of Liability

To the maximum extent permitted by law:

• Commerciera Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services.
• Our total aggregate liability for any claim arising out of or related to a project shall not exceed the total fees paid by the Client for that specific project.
• We do not guarantee specific results, including but not limited to search engine rankings, lead volumes, or revenue increases, as these depend on many factors outside our control.
• We are not responsible for losses resulting from the Client's misuse of deliverables or failure to follow our recommendations.

7. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information disclosed during the course of a project. This obligation survives the termination of these Terms for a period of two years. Confidential information shall not include information that is publicly available, already known to the receiving party, or required to be disclosed by law.

8. Termination

Either party may terminate a project agreement under the following conditions:

• Written notice of at least 30 days is required for ongoing retainer services.
• For fixed-price projects, termination is governed by the terms specified in the project proposal.
• In the event of termination, the Client shall pay for all work completed up to the date of termination.
• We reserve the right to terminate immediately if the Client breaches these Terms, fails to make payments, or engages in conduct that is harmful to our reputation.

9. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation before pursuing any other legal remedies.

10. Governing Law

These Terms and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes.

11. Amendments

Commerciera Limited reserves the right to amend these Terms at any time. Updated Terms will be published on this page with a revised "Last updated" date. Continued use of our services following any changes constitutes acceptance of the updated Terms.
